MATERIALS SUBMISSION POLICY AND AGREEMENT

Ocean Entertainment Ltd. would be pleased to receive your ideas, program suggestions and literary materials. We invite you to first carefully review the following policy and agreement, as it will apply to any ideas, suggestions and other materials you submit. Ocean Entertainment Ltd. will review and consider your submission(s) only if you accept this policy and agreement. It is intended to clarify the rights and obligations of Ocean Entertainment Ltd. with respect to your submission(s) and to avoid any misunderstandings.

POLICY: Ocean Entertainment Ltd. may review and discuss your submissions with its employees, and possibly others, to evaluate its usefulness to Ocean Entertainment Ltd. You recognize that other persons, including our own employees, may have submitted to us or to others or made public, similar or identical material, which Ocean Entertainment Ltd. may independently have, the right to use. Accordingly, you understand that any such review process does not create a confidential relationship between you and Ocean Entertainment Ltd. nor does it imply that you will be entitled to any compensation if Ocean Entertainment Ltd. uses similar or identical material. However, should Ocean Entertainment Ltd. choose to use any portion of your submission(s) that is legally protectable, Ocean Entertainment Ltd. will pay you such compensation as we may subsequently negotiate and agree upon in writing.

AGREEMENT: You agree that you have requested Ocean Entertainment Ltd. to review and consider your submission(s) in accordance with and in reliance on the provisions of this policy and agreement. You warrant that you are the sole creator and owner of all material submitted by you to Ocean Entertainment Ltd. and that no one else to your knowledge has any right to it. You agree that Ocean Entertainment Ltd. may retain and is not obligated to return to you or destroy any materials submitted, and you confirm that you have kept a copy of all materials submitted. Either party to this Agreement may assign or license its or their rights hereunder, but such assignment or license shall not relieve such party of its or their obligations hereunder. This Agreement shall inure to the benefit of the parties hereto and their heirs, successors, representatives, assigns and licensees, and any such heir, successor, representative, assign or licensee shall be deemed a third party beneficiary under this Agreement.

The laws of the Province of Nova Scotia applicable to agreements executed and to be fully performed therein shall govern this Agreement. The above terms and conditions may not be waived or changed except in writing and signed by an officer of Ocean Entertainment Ltd.
